Terms of Service

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract under applicable law. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at hello@cpazenith.com of any suspected unauthorized use.

2. Acceptable use

You agree not to:

• Scrape, crawl, harvest, or otherwise extract data from the Service by automated means without our prior written consent;
• Resell, sublicense, or commercially redistribute directory content, listings, or paid digital products;
• Impersonate any person or entity, including any listed professional;
• Upload malicious code, attempt to bypass security controls, or probe the Service for vulnerabilities outside a coordinated disclosure;
• Use the Service to harass, defame, or violate any third party's rights or applicable law.

3. User-generated content (reviews and submissions)

You retain ownership of content you submit (e.g., reviews, claimed-profile content, lead submissions). By submitting it, you grant CPAZenith a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and distribute that content as needed to operate and promote the Service. You represent that you have the rights necessary to grant this license and that the content does not infringe or violate any third party's rights. 4. Professional listings and claimed profiles

Listings are compiled from public-records sources and self-attestation. Listed professionals are solely responsible for the accuracy and completeness of information on their profile. Profile claims are governed by our Profile Claim Policy. We may suspend, remove, or modify any listing that violates these Terms, applicable law, or our policies, or that we determine in good faith may mislead users.

5. Paid digital products

Certain templates, guides, and resource libraries are sold through the Service. Unless expressly stated, paid digital products are licensed (not sold) to the buyer for personal or single-business internal use only, on a perpetual, non-transferable, non-sublicensable basis. Redistribution, resale, or use as part of a competing product is prohibited. Because digital products are delivered immediately upon purchase, all sales are final once the buyer accesses, downloads, or attempts to download the file, except where required by law.

6. Subscriptions (when offered)

If you purchase a subscription, it auto-renews at the then-current price each billing period until cancelled. You may cancel at any time from your account or through the customer portal; cancellation takes effect at the end of the current period and no pro-rated refunds are issued except where required by law. Price changes will be communicated by email with at least 14 days' notice.

7. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that listings, calculators, content, or any output of the Service are accurate, complete, current, or suitable for any specific use. 8. Limitation of liability

To the maximum extent permitted by law, CPAZenith and its officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Service. Our aggregate liability for any claim arising out of or related to the Service is limited to the greater of (a) the amount you paid to CPAZenith in the twelve (12) months preceding the event giving rise to the claim or (b) one hundred U.S. dollars (US$100).

9. Indemnification

You agree to defend, indemnify, and hold harmless CPAZenith and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, or your violation of these Terms or applicable law.

10. DMCA / copyright notices

If you believe content on the Service infringes your copyright, send a notice that complies with 17 U.S.C. § 512(c)(3) to our designated agent at hello@cpazenith.com with the subject line "DMCA Notice." We will respond consistent with the safe-harbor procedures of the DMCA, including notifying the affected user and processing counter-notices.

11. Termination

You may stop using the Service at any time and may delete your account from the dashboard. We may suspend or terminate your access at any time for any violation of these Terms or for activity we determine, in good faith, to be harmful to the Service or its users. Sections that by their nature should survive (including 3 last sentence, 5, 7–10, and 13–14) survive termination.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State in which CPAZenith maintains its principal place of business, without regard to conflict-of-laws rules. Except for claims for injunctive relief, any dispute arising out of or related to these Terms or the Service shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. You and CPAZenith waive the right to participate in a class action, class arbitration, or representative proceeding. Where arbitration is unenforceable, disputes shall be brought exclusively in the state or federal courts located in our place of business, and you consent to personal jurisdiction there. Nothing in this section prevents either party from seeking small-claims-court relief for claims within that court's jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced on this page and, where appropriate, by email to account holders, at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

14. Miscellaneous

If any provision of these Terms is held unenforceable, the remainder will remain in effect. Our failure to enforce any provision is not a waiver. These Terms, together with the policies referenced above, are the entire agreement between you and CPAZenith concerning the Service. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
